Formation of Contract

A Contract is entered into between The Social Inn and you when we accept, either in writing or by conduct, an order that you place (either verbally or in writing) for goods or services.

A contract constitutes the only agreement governing the supply of the goods and services to which it relates and supersedes all previous communications and negotiations and agreements in connection with the supply of those goods and services.

Except as specifically provided in these terms and conditions, any terms in respect of the supply of goods and services contained in or relating to any other documents, including any of your documents (even if they are specified to prevail), are excluded. By accepting the goods and services, you acknowledge that these terms and conditions prevail over any qualification or condition purported to be imposed in any such other documents.

Commitment Period

Where you sign up for a service, subscription, program, or package offered through our Site that specifies a minimum term, you acknowledge and agree that a 12-week minimum commitment period (Lock-In Period) applies from the date of purchase or commencement of services, whichever is later.

By proceeding with any use of our services, you agree that:

1. You will remain liable for payment of all fees for the full 12-week Lock-In Period, regardless of whether you actively use or participate in the services during that time.

2. You are not entitled to cancel, suspend, or request a refund for the service during the Lock-In Period, except where required by law or where otherwise expressly agreed to by us in writing.

3. Pausing the service during the Lock-In Period is not permitted unless authorised by us.

Following the expiry of the Lock-In Period, you may cancel or modify your service in accordance with the cancellation provisions in these Terms.

We reserve the right to enforce the Lock-In Period and recover any outstanding fees owed as a result of early termination.

Cancellations

We may, at our discretion, cancel, postpone or adjust the timing of any scheduled service. If we are unable to deliver the service and do not offer a suitable alternative, you will receive a refund for any undelivered portion of the service already paid for.

If you wish to cancel or change your appointment, you must email us at our nominated address no later than 24 hours before the scheduled start time. Where less than 24 hours’ notice is provided, no refund will be issued and a cancellation fee may apply. In such cases, we may also be unable to offer a new booking.

If you request to reschedule and we are unable to accommodate your preferred new time, you acknowledge that additional fees may be charged for any alternative arrangements made.

We are not liable for any failure of third-party providers, contractors, or suppliers to perform services related to or supporting our services. You acknowledge that such third-party disruptions may impact the delivery of our services and do not entitle you to a refund.

Refunds

We will provide a refund where we:

1. determine, in our sole discretion, that a refund is appropriate; or

2. are unable to deliver the services due to circumstances within our control.

Subject to any applicable law, we will not provide you a refund if you:

1. change your mind;

2. no longer wish to proceed for personal or business reasons; or

3. request that the services be performed in a manner contrary to our advice.

Deposits paid for the services are non-refundable and non-transferable, regardless of whether the services proceed.

At our discretion, we may offer a credit toward future services in lieu of a cash refund.

Electronic communications

When you visit our website, purchase goods or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on our website.

You acknowledge that you are solely responsible for verifying that any electronic communications do not contain any viruses and have not been subject to compromise. If you receive an invoice electronically, you must verify any account details described in that invoice.

Time for Payment

You must pay at the point of sale and as ongoing per any agreement between us and you. We reserve the right to withhold delivery of the products and/or services until payment is received in full.

Force Majeure

We will have no liability to you in relation to any loss, damage or expense caused by any failure or delay in delivering services as a result of fire, flood, tempest, earthquake, pandemic (including COVID-19), epidemic or other acts of God, riot, civil disturbance, theft, crime, strike, lockout, breakdown, war, any supply chain issues or any other matter beyond our reasonable control.

Severability

Any provision in these terms and conditions which is invalid or unenforceable in any jurisdiction must be read down for the purposes of that jurisdiction, if possible, so as to be valid and enforceable. If that provision cannot be read down then it is capable of being severed to the extent of the invalidity or unenforceability without affecting the remaining provisions of these terms and conditions or affecting the validity or enforceability of that provision in any other jurisdiction.
